Terms of Service

1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the services provided by Northlight Frameworks Studio, a production-studio business located at 2140 W 4th Ave, Vancouver, BC V6K 1N8, Canada (“Northlight Frameworks Studio,” “we,” “us,” or “our”). By requesting, booking, purchasing, accessing, or using any of our services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use our services. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity.
2. Scope of Services
Northlight Frameworks Studio provides creative and production services, which may include, without limitation:
- Commercial video production
- Studio photography sessions
- Creative concept development
- Editing and post-production
- Motion graphics and animation
- Product and lifestyle shoots
The exact scope, deliverables, timelines, usage rights, and technical specifications for each project will be set out in a proposal, estimate, statement of work, booking confirmation, or other written agreement issued by Northlight Frameworks Studio (collectively, the “Project Agreement”). In the event of any conflict between these Terms and a Project Agreement, the Project Agreement will prevail to the extent of the conflict.
We reserve the right to refuse, suspend, or discontinue services where a project is unlawful, unsafe, defamatory, discriminatory, infringing, technically infeasible, or otherwise inconsistent with our professional standards or business policies.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, current, and complete information when engaging our services;
- Obtain all necessary permissions, consents, licenses, releases, and approvals required for the project, including talent releases, location permissions, and trademark or copyright clearances where applicable;
- Ensure that any materials you provide to us do not infringe the rights of any third party and are not unlawful, misleading, or harmful;
- Cooperate promptly with requests for feedback, approvals, assets, and information needed to complete the project;
- Comply with all applicable laws, regulations, and industry standards in connection with your use of our services and deliverables;
- Not use our services or deliverables for any unlawful, defamatory, deceptive, harassing, or infringing purpose;
- Maintain backups of all materials, files, and content you provide to us.
You are solely responsible for the legality, accuracy, and appropriateness of any content, instructions, or materials you supply. We are not responsible for delays or additional costs caused by incomplete information, late approvals, or changes requested by you.
4. Payment Terms and Conditions
Fees, deposits, payment schedules, and any applicable taxes will be specified in the Project Agreement or invoice. Unless otherwise agreed in writing:
- A non-refundable deposit may be required to secure a booking or commence work;
- All invoices are due within the period stated on the invoice, or if not stated, within 14 days of issuance;
- Amounts are payable in Canadian dollars unless otherwise agreed;
- Applicable taxes, including GST/HST and any other required taxes, will be added where applicable;
- Late payments may result in suspension of services, withholding of deliverables, and interest or administrative charges permitted by law;
- You are responsible for all bank charges, wire fees, currency conversion fees, and collection costs incurred in connection with payment.
Estimates are based on the information available at the time of quotation. If project scope changes, including revisions beyond the agreed number, additional shoot time, rush delivery, reshoots, or expanded usage requirements, we may issue a revised estimate or additional invoice.
5. Cancellation and Refund Policy
Cancellations and rescheduling requests must be made in writing. Because our services involve reserving time, equipment, personnel, and production resources, cancellation fees may apply.
- Deposits are generally non-refundable unless otherwise stated in the Project Agreement or required by applicable law;
- If you cancel after work has begun, you must pay for all completed work, committed expenses, and non-cancellable costs;
- Rescheduling is subject to availability and may incur additional fees;
- If we must cancel due to circumstances within our control, our liability is limited to refunding amounts paid for undelivered services, subject to applicable law;
- No refunds will be issued for completed services, approved deliverables, or digital files already delivered, except where required by law.
Any third-party costs, including studio rentals, talent fees, location fees, licensing, travel, catering, equipment rentals, and subcontractor charges, may be non-refundable once incurred.
6. Liability Limitations
To the fullest extent permitted by applicable law, Northlight Frameworks Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business opportunity, loss of data, or reputational harm, arising out of or related to the services or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services or these Terms shall not exceed the total amount actually paid by you to Northlight Frameworks Studio for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to the claim, or CAD $500, whichever is greater, unless a higher amount is required by law.
We do not guarantee specific creative outcomes, audience response, commercial success, platform approval, or uninterrupted availability of any deliverables. Creative services are inherently subjective, and final deliverables are provided based on the agreed brief, scope, and approvals.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability for fraud, wilful misconduct, or any non-excludable consumer rights under applicable Canadian law.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property, tools, workflows, templates, software, techniques, know-how, and production methods used by Northlight Frameworks Studio remain our property or the property of our licensors.
Upon full payment of all amounts due, and subject to the terms of the Project Agreement, you will receive the usage rights or ownership rights expressly stated in that agreement for the final deliverables. Any rights not expressly granted are reserved by Northlight Frameworks Studio.
We may retain ownership of raw footage, project files, working files, project assets, and source materials unless the Project Agreement expressly provides otherwise. Delivery of raw files or source files, if requested, may be subject to additional fees and separate licensing terms.
You grant Northlight Frameworks Studio a non-exclusive, worldwide, royalty-free license to use your name, logo, trademarks, and project materials solely as necessary to perform the services and, unless you object in writing, to display finished work in our portfolio, website, social media, reels, awards submissions, and marketing materials. Any such use will be subject to confidentiality obligations where applicable.
You represent and warrant that you have all rights necessary to provide materials and instructions to us and to authorize our use of such materials in connection with the services.
8. Data Protection and Privacy
Northlight Frameworks Studio collects, uses, stores, and discloses personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation, as applicable.
We may collect personal information such as names, contact details, billing information, project preferences, communications, and image or video content where necessary to provide our services, manage bookings, process payments, and maintain business records.
We use personal information for purposes including:
- Providing and administering our services;
- Communicating about projects, scheduling, and deliverables;
- Processing payments and preventing fraud;
- Meeting legal, accounting, and tax obligations;
- Improving our services and maintaining internal records;
- Marketing and portfolio use, where permitted by law and by agreement.
We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
Where we engage third-party service providers, including cloud storage, payment processors, editing platforms, or subcontractors, they may access personal information only as necessary to perform services on our behalf and subject to appropriate confidentiality and security obligations.
9. Force Majeure
Northlight Frameworks Studio shall not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including but not limited to acts of God, fire, flood, earthquake, severe weather, epidemic or pandemic, war, terrorism, civil unrest, labour disputes, power outages, equipment failure, internet or telecommunications disruptions, government actions, transportation interruptions, or the unavailability of key personnel, locations, or third-party services.
If a force majeure event occurs, we may suspend performance for the duration of the event and a reasonable recovery period. If the event materially affects a project, the parties will use commercially reasonable efforts to reschedule, modify, or terminate the affected services on fair and reasonable terms.
10. Changes to Terms
We may update or modify these Terms from time to time to reflect changes in our services, business practices, or applicable law. The revised Terms will be posted or otherwise made available to you and will be effective on the date stated in the updated version, unless a later date is specified.
Your continued use of our services after the effective date of any revised Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using our services and, if applicable, notify us in writing.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or any Project Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Subject to any mandatory consumer protection laws or other non-waivable rights, the parties agree that the courts located in Vancouver, British Columbia, shall have exclusive jurisdiction and venue over any dispute arising from or relating to these Terms or the services.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
If any invalid or unenforceable provision can be modified to make it valid and enforceable, it shall be interpreted and enforced to the maximum extent permitted by law in a manner that most closely reflects the original intent of the parties.
By engaging the services of Northlight Frameworks Studio, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
